Terms of Service.

These Terms of Service ("Terms") govern your access to and use of the websites, software, and services provided by Mulholland, Inc. ("Mulholland," "we," "us," or "our"). By accessing our sites or using our services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

The service.

Mulholland provides operational intelligence software and AI systems that model how a business operates and act on that model. The specific scope, deliverables, and commercial terms for any production deployment are defined in a separate written agreement or order form between you and Mulholland. Where that agreement conflicts with these Terms, the signed agreement controls.

Acceptable use.

You agree not to:

• Use the service in violation of any applicable law or regulation.
• Reverse engineer, resell, or attempt to gain unauthorized access to the service or its underlying infrastructure.
• Upload content you do not have the right to share, or that infringes the rights of others.
• Interfere with or disrupt the integrity or performance of the service.

Your data.

You retain all rights to the data you provide. We process it only to deliver and improve the service, as described in our Privacy Policy. Our security architecture is described on our Security page. We do not sell customer data.

Intellectual property.

Mulholland and its licensors own all rights to the software, models, designs, and documentation that make up the service. These Terms grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes during the term of your agreement with us.

Confidentiality.

Each party may receive information that is confidential to the other. Both parties agree to protect the other's confidential information with the same care they use for their own and to use it only to perform under these Terms.

Disclaimers.

Except as expressly stated in a signed agreement, the service is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI systems can produce errors; you are responsible for human review of consequential decisions.

Limitation of liability.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability arising from the service is limited as set out in your signed agreement, or, absent one, to the amounts paid to Mulholland in the twelve months preceding the claim.

Termination.

Either party may terminate as provided in the applicable signed agreement. Upon termination, your right to access the service ends, and we will return or delete your data in accordance with our agreement and the Privacy Policy.

Changes to these Terms.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes affecting an active deployment will be communicated under the relevant signed agreement.
